Chatykit Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of Chatykit, including our website, AI chat features, related tools, and other services we make available (collectively, the “Service”). The Service is operated by FlowMind Technology Inc. (“Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Authority

You must be at least 18 years old, or the age of legal majority where you live, to use the Service. By using the Service, you represent that you have the legal capacity to enter into these Terms.

If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms. In that case, “you” includes that organization.

2. The Service

The Service allows users to interact with artificial intelligence systems to generate text, answers, summaries, ideas, analysis, and other content. We may add, change, limit, suspend, or discontinue features or supported AI models from time to time.

As of the Effective Date, Chatykit uses meta/meta-llama-3-8b-instruct to provide AI-powered chat functionality. We may update, replace, add, or remove AI models as the Service evolves.

Some features may be provided through third-party AI models, infrastructure, or other service providers. Availability, response quality, model names, features, and usage limits may change over time.

3. User Input and AI Output

4.1 Input

You may submit prompts, text, files, images, or other materials to the Service (“Input”). You retain any rights you have in your Input.

You represent and warrant that you have all rights, licenses, consents, and permissions necessary to submit your Input and permit us and our service providers to process it for purposes of providing, maintaining, securing, and improving the Service as described in these Terms and our Privacy Policy.

Do not submit information that you are not legally permitted to disclose or that you do not want processed by the Service or relevant third-party providers.

4.2 Output

The Service may generate text or other material in response to your Input (“Output”). Subject to applicable law and these Terms, as between you and us, we do not claim ownership of your Output.

Because artificial intelligence can produce similar or identical responses for different users, Output provided to you may not be unique, and other users may receive similar content.

4.3 Your Responsibility for Output

AI-generated Output may be inaccurate, incomplete, misleading, outdated, offensive, or otherwise unsuitable for your purposes. You are responsible for reviewing Output and independently verifying important facts before using, publishing, sharing, or relying on it.

You are solely responsible for how you use Output and for ensuring that your use complies with applicable laws and does not infringe or violate the rights of others.

4. Acceptable Use

You may not use the Service to:

  1. violate any applicable law, regulation, court order, or the rights of another person;
  2. create, upload, request, or distribute unlawful, fraudulent, defamatory, abusive, or infringing content;
  3. facilitate scams, phishing, malware, unauthorized access, credential theft, or other harmful or deceptive activity;
  4. exploit, harm, or endanger minors;
  5. impersonate another person or falsely represent the source, authenticity, or endorsement of content in a deceptive manner;
  6. infringe copyrights, trademarks, privacy, publicity, confidentiality, or other legal rights;
  7. bypass or attempt to bypass usage limits, access controls, safety systems, rate limits, or security protections;
  8. probe, scan, disrupt, overload, interfere with, or gain unauthorized access to the Service or related systems;
  9. reverse engineer, decompile, or attempt to derive non-public source code, models, model weights, or underlying components of the Service, except to the extent such restriction is prohibited by law;
  10. use automated means to scrape or extract data from the Service except as expressly authorized by us; or
  11. use the Service or Output in a way that creates an unreasonable risk of harm to any person or violates applicable third-party AI provider policies communicated to you.

We may investigate suspected misuse and may limit, suspend, or terminate access where reasonably necessary to protect users, third parties, or the Service or to comply with law.

5. High-Impact and Professional Uses

The Service is a general-purpose AI tool and is not a substitute for qualified professional judgment.

Output does not constitute medical, legal, financial, tax, accounting, employment, or other professional advice. You should consult an appropriately qualified professional before making decisions where errors could cause material harm.

You must not rely solely on the Service to make decisions about another person’s eligibility, rights, access, or opportunities in high-impact areas such as employment, housing, lending, insurance, education, healthcare, or legal services where applicable law requires human review, specific safeguards, or otherwise restricts automated decision-making.

6. Usage Limits and Fair Use

The Service may include message, token, model, file, compute, or other usage limits. Limits may differ by feature or model and may be adjusted to maintain Service availability, prevent abuse, or reflect third-party provider constraints.

We may temporarily restrict unusually high or automated usage that materially affects Service stability, security, or availability, or that attempts to circumvent technical limits.

7. Intellectual Property

The Service, including its software, design, interfaces, branding, graphics, databases, and other content provided by us, is owned by us or our licensors and is protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for lawful personal or internal business purposes.

Except as expressly permitted, you may not copy, sell, sublicense, distribute, modify, or create derivative works from proprietary elements of the Service.

8. Third-Party Services and AI Providers

The Service may rely on or integrate with third-party AI model providers, hosting providers, or other service providers. Your Input may be transmitted to and processed by such providers when necessary to provide requested features, as further described in our Privacy Policy.

Third-party services are outside our control. We do not guarantee their availability, performance, or continued compatibility with the Service. Where applicable, your use may also be subject to third-party terms or usage policies presented or referenced in connection with the relevant feature.

9. Privacy

Our collection and use of personal information are described in our Privacy Policy. Please review that policy before using the Service.

10. Feedback

If you send us suggestions, ideas, or feedback about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation to you. This does not transfer ownership of your Input or Output generally.

11. Service Changes and Availability

We may update the Service, add or remove models or features, impose reasonable technical limits, or temporarily suspend access for maintenance, security, legal, or operational reasons.

We do not guarantee that any particular AI model or feature will remain available indefinitely.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT OUTPUT WILL BE ACCURATE, COMPLETE, UNIQUE, CURRENT, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED USD $100.

These limitations do not exclude liability that cannot lawfully be excluded or limited, and they do not affect non-waivable consumer rights.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Company and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, losses, and reasonable legal costs arising from your unlawful use of the Service, your Input, your violation of these Terms, or your infringement of another person’s rights.

This section does not apply to the extent prohibited by applicable law.

15. Suspension and Termination

You may stop using the Service at any time.

We may suspend, restrict, or terminate your access if we reasonably believe that you materially violated these Terms, created risk or harm for us or others, abused or interfered with the Service, or if restriction is required by law. Where appropriate and legally required, we will provide notice.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, and dispute provisions—will survive.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except to the extent mandatory law in your place of residence applies.

Subject to any mandatory rights you may have under applicable law, any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be brought in the state or federal courts located in Delaware, and you and FlowMind Technology Inc. consent to the personal jurisdiction and venue of those courts.

17. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will provide notice as required by law, such as by posting a prominent notice in the Service.

The updated Terms will state their effective date. Your continued use after the updated Terms take effect constitutes acceptance where permitted by law. If you do not agree to an updated version, you should stop using the Service.

18. General Terms

These Terms, together with our Privacy Policy and any additional terms expressly incorporated into them, form the entire agreement between you and us regarding the Service.

If any provision is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. Our failure to enforce a provision is not a waiver of our right to do so later.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law, subject to applicable law.

We are not responsible for delays or failures caused by events beyond our reasonable control.
